Terms of Use

By accessing SocialDocket.ai or any Social Docket applications, you agree to be bound by these Terms of Use. “You” refers to the user, “Social Docket” refers to Social Docket, Inc., and “Service” encompasses the website, applications, and related tools. You must be at least eighteen (18) years of age with the legal capacity to enter into binding agreements to use the Service.

2. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated by reference into these Terms of Use.

3. Who Can Use The Service

The Service is intended for individuals and entity owners who are at least eighteen (18) years of age with the legal capacity to enter into binding agreements. Social Docket reserves the right to refuse access to or terminate accounts of any user in its reasonable discretion.

4. Early Access Users

Beta or early access offerings are provided “AS IS” and “AS AVAILABLE” without warranties of any kind. These features may be incomplete, may be discontinued at any time, and carry no guarantees of support or continued availability.

5. Your Account

You must provide accurate, current, and complete information when creating an account and are responsible for maintaining the confidentiality of your account credentials. If you link any third-party accounts, those accounts remain subject to the terms and policies of their respective providers, and Social Docket is not responsible for third-party services.

6. User Content

You retain ownership of any content you submit to the Service. By submitting content, you grant Social Docket a limited, non-exclusive, royalty-free license to use, process, and store your content as necessary to operate and improve the Service. You warrant that you own or have the necessary rights to submit your content and that doing so does not violate any applicable law or third-party rights.

7. Payment

Certain features of the Service may require payment of fees. You agree to pay all applicable fees in accordance with the pricing and payment terms presented to you at the time of purchase.

a. Subscriptions and Auto-Renewal

If you purchase a subscription, your subscription will automatically renew on a monthly basis on the same calendar day as your original purchase, unless you cancel before the renewal date. By purchasing a subscription, you authorize Social Docket to charge your payment method on a recurring basis until you cancel.

b. Free Trials

Social Docket may offer a free trial period (such as a seven (7) day trial of select paid features) from time to time, without requiring a payment method for that trial. When the trial ends, your account returns to the free tier unless you purchase a subscription. Paid subscriptions and recurring charges only begin after you complete checkout and authorize payment.

c. Cancellation and Refunds

You may cancel your subscription at any time before the next renewal date to avoid being charged for the next billing period. If you cancel after a renewal date, you will retain access to the Service through the end of the current billing cycle. All fees are non-refundable and non-transferable, except as required by applicable law.

d. Payment Processing

Payments are processed by third-party payment processors. Social Docket reserves the right to adjust pricing prospectively with notice. If your payment method fails or your account becomes past due, we may suspend or limit access to paid features until payment is successfully processed.

8. Acceptable Use

You agree to use the Service only for lawful purposes. You may not:

  • Violate any applicable law or regulation
  • Submit content you do not own or have rights to use
  • Reverse-engineer, decompile, or copy any part of the Service
  • Circumvent or disable any security features
  • Develop competing products or services using Service outputs
  • Use outputs to train or improve competing artificial intelligence systems
  • Use the Service in any manner that could damage, disable, or impair it

9. Termination

Social Docket may suspend or terminate your access to the Service at any time, with or without notice, for any violation of these Terms or for any other reason in its discretion. Upon termination, provisions relating to intellectual property, disclaimers, limitations of liability, and indemnification shall survive.

10. Intellectual Property

All content, features, and functionality of the Service, excluding user-submitted content, are owned by Social Docket and are protected by copyright, trademark, and other applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes only. You may not copy, modify, distribute, or commercially exploit any part of the Service.

11. Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by Social Docket for any purpose, without restriction or obligation to you.

12. Customer Service

Social Docket may provide customer support at its discretion. There is no guarantee of response time, availability, or resolution for any support inquiry.

13. Confidentiality

You agree not to disclose any non-public features or proprietary elements of the Service. You may not reverse engineer, decompile, or otherwise extract proprietary components of the Service without express written consent from Social Docket.

14. Export Restrictions

You agree to comply with all applicable U.S. export laws and regulations. You warrant that you are not located in an embargoed territory and are not listed on any U.S. government list of prohibited or restricted parties.

15. Usage Data

Social Docket may collect aggregated, de-identified usage data from your use of the Service for the purpose of improving and developing the Service. Such data will not include personally identifiable user content.

16. Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. SOCIAL DOCKET DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SOCIAL DOCKET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Social Docket's total cumulative liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the total fees paid by you to Social Docket in the twelve (12) months preceding the claim.

18. Indemnification

You agree to indemnify, defend, and hold harmless Social Docket and its officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or related to your access to or use of the Service, your violation of these Terms, your user content, or your reliance on any Service outputs.

19. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association in the State of New York, conducted in English. You agree to attempt to resolve disputes informally before initiating arbitration.

20. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws provisions. Any disputes not subject to arbitration shall be brought exclusively in the state or federal courts located in New York.

21. Notices

Social Docket may provide notices to you via email or by posting on the Service. You are responsible for maintaining current and accurate contact information in your account.

22. Miscellaneous

Social Docket may refuse access to the Service to any person. You may not assign these Terms or any rights hereunder without Social Docket's prior written consent. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force. Failure to enforce any provision of these Terms shall not constitute a waiver of that provision. These Terms constitute the entire agreement between you and Social Docket with respect to the Service and supersede all prior understandings.
